Terms of Service

These Terms of Service ("Terms") govern your use of ensureendpoint.com, the PosturePass™ application, our deployment and web management portals, and any related products and services (the "Services"), operated by Ensure Endpoint Technologies Inc. ("Ensure Endpoint," "we," "us"). By using the Services, you agree to these Terms.

Your installation and use of the PosturePass application is also governed by the PosturePass End User License and Service Agreement ("EULA"); the EULA controls in any conflict with these Terms as to the Application.

1. Eligibility

You must be at least 18 and able to enter into a binding agreement. If you accept on behalf of an organization, you represent that you are authorized to bind it, and "you" refers to that organization.

2. Free Use; Paid Agreements

The Services are provided free of charge unless you have entered into a separate written agreement, order form, or paid subscription with us (a "Paid Agreement"). A Paid Agreement controls in any conflict with these Terms.

3. Use of the Services

You agree to use the Services lawfully and in accordance with these Terms. You may not:

copy, modify, or access the Services except as expressly permitted;
reverse engineer, decompile, or extract source code;
interfere with, disrupt, or gain unauthorized access to any system or account;
resell, distribute, host, or commercially exploit the Services, or incorporate them into a managed or security service for third parties, except under a Paid Agreement; or
use the Services in violation of any law or third-party right.

4. Accounts

Some Services, including our portals, require an account. You are responsible for safeguarding your credentials, for activity under your account, and for promptly notifying us of any unauthorized use. We may suspend or revoke access to protect the Services.

5. Software License

The PosturePass application is licensed, not sold. We grant you a limited, non-exclusive, non-transferable license to install and use it to verify device compliance. The full license terms are in the EULA. You may not distribute, modify, or resell the software.

6. Privacy

Our Privacy Policy explains what we collect and how we use it. PosturePass checks device security posture (such as encryption, antivirus, and OS updates) and does not access personal files or monitor user activity on the endpoint. If you use the Services on behalf of an organization, you are responsible for providing required notices and obtaining required consents from end users.

7. Intellectual Property

The Services, including the Ensure Endpoint™ and PosturePass™ marks and all related content and software, are owned by Ensure Endpoint or its licensors. All rights not expressly granted are reserved. You may not use our materials without our prior written permission.

8. Availability and Changes

The Services are provided on an "as available" basis. We may modify, suspend, or discontinue the Services at any time, with or without notice and without liability, including in respect of the free version.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENSURE ENDPOINT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Device posture results reflect information available from the endpoint at the time of the scan and are not a guarantee of complete device security.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENSURE ENDPOINT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (I) US$100 OR (II) THE FEES YOU PAID UNDER A PAID AGREEMENT FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply to a party's fraud or willful misconduct, or to any liability that cannot be limited by law.

11. Indemnification

You will indemnify, defend, and hold harmless Ensure Endpoint and its affiliates, officers, directors, employees, and licensors from any claims and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your violation of law, or your violation of a third-party right.

12. Export Controls

The Services are subject to U.S. export control laws. You agree to comply with all applicable export restrictions and represent that you are not located in or a national of a country subject to U.S. embargo and are not on any U.S. government list of restricted parties.

13. Termination

We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, if required by law, or otherwise at our discretion. Upon termination, your rights under these Terms end. Sections 5 to 7 and 9 to 12, this Section 13, and Sections 14 to 15 survive termination.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. The State and Federal Courts in Delaware have exclusive jurisdiction over any dispute arising under these Terms.

15. General

We may update these Terms from time to time. The current version is posted on this page with a revised "Effective Date"; continued use after changes constitutes acceptance. You may not assign these Terms without our consent; we may freely assign them. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the rest will remain in effect. These Terms, together with the EULA, the Privacy Policy, and any Paid Agreement, are the entire agreement between us regarding the Services.
